SYNOPSIS OF THE MINUTES OF THE OCTOBER 15, 2011 BOARD MEETING
CALL TO ORDER
Rick Cornish, Chairman of the Board, called the meeting to order at 10:15 am in Atwood Hall at the Colusa Fairground, Colusa, CA.
ROLL CALL WAS TAKEN AND THE AGENDA WAS SET
Board Members Present:
Rick Cornish, John Duncan, Marcos Alvira, Montie Elston, Tim Edes, Jack Hyland, Mark Hogan, Bruce Campbell and Geoff Sargent
Approval of Election Results:
Josh reported the results of the election. We required 263 votes for a quorum and we received 381 votes. The new board consists of: Tim Edes, Bill Evans, Montie Elston, Mark Hogan, Bruce Campbell, Rick Cornish, Jim Ingram, Craig Wilson, Marcos Alvira, Jack Hyland, Stuart Sims, Geoff Sargent and John Duncan.
The motion to approve the election results was carried by unanimous vote.
David Brace reported that the campout did fairly well. We more than covered our expenses.
APPROVAL OF THE SEPTEMBER BOARD MEETING MINUTES
The motion to approve the September 10, 2011 board minutes was carried by unanimous vote.
PERSONS DESIRING TO ADDRESS THE BOARD ON UNAGENDIZED ITEMS
Larry Kuhn spoke to the board and suggested we add special acknowledgements for special volunteers, which will be added to the November agenda and also suggested name tags for people at campouts, etc.

The motion to appoint Rick Cornish as Chairman of the Board was carried by unanimous vote.
The motion to appoint Darby Brandli as President was carried by unanimous vote.
The motion to appoint Rick Cornish as Director of Operations was carried by unanimous vote.
The motion to appoint Dan Martin as Napa Activities VP was carried by unanimous vote
The motion to appoint Larry Phegley as South Bay/Monterey Bay Activities VP was carried by unanimous vote.
The motion to appoint Bruce Campbell as Membership Vice President was carried by unanimous vote.
All other current officers from the appointments list from Secretary through Teen Ambassador, were re-appointed to their positions.
Year Round Jobs
The motion to appoint Geoff Sargent as Music Camp Liaison was carried by unanimous vote.
The motion to appoint Darby Brandli as Youth Program Coordinator was carried by unanimous vote.
Under the Year Round Jobs heading on the Appointments list, with the above exceptions, were all re-appointed as a group by unanimous vote.
Grass Valley Festival Appointments
The motion to appoint David Brace as the Father’s Day Festival Director was carried by unanimous vote.
The motion to appoint Dave Gooding as the Vern’s Entertainment Coordinator & Stage Setup was carried by unanimous vote.
The motion to appoint Randy Morton as the Electrical/Transportation/Communications Coordinator was carried by unanimous vote.
The motion to appoint Randy Shelton as Gate Crew Coordinator was carried by unanimous vote.
The motion to appoint Mont Hadley as Safety & Hospitality Coordinator was carried by unanimous vote.
Of the remaining appointments under the Grass Valley Festival heading on the Appointments list, all were reappointed by unanimous vote.
The motion to re-appoint Josh Michaels as the Elections Coordinator was carried by unanimous vote.
The motion to re-appoint Mark Hogan as the Sebastopol Festival Director was carried by unanimous vote.
The motion to re-appoint Kelly Broyles and Marcos Alvira as the King’s River Festival Co-Directors was carried by unanimous vote.
The motion to re-appoint Rick Cornish as the Web Team Leader was carried by unanimous vote.
The motion to re-appoint Alicia Meiners as the E-Commerce Manager was carried by unanimous vote.
OLD BUSINESS
Calendar Sales
Marcos said we didn’t quite break even and he is trying to minimize the loss by continuing to sell them for $5. Give more thought for the next time we do this type of project.
IBMA report
Larry Kuhn talked about the results of our presence at IBMA. He reported that Sierra Nevada donated 32 cases of beer. Rich Adler is pleased to continue to store our equipment at his place. Everything went well. Darby spoke at the luncheon and introduced Frank Solivan and Dirty Kitchen to all. We probably will have a shortfall, but not for a couple of weeks.
Raffle Sales
Larry Kuhn gave all a report on the raffle and how much was raised.
Kings River Festival
This report will be added to the November agenda but the preliminary figures show a profit was made.
NEW BUSINESS
The motion to hire Flatt Lonesome, a Florida based band, as our emerging artist band for FDF 2012 was carried by unanimous vote.
The motion to give David Brace, the new FDF director, the authority to be able to sign any necessary contracts associated with the Father’s Day Bluegrass Festival was carried by unanimous vote.
The motion to pass a resolution authorizing Montie Elston, Treasurer; Valerie Cornejo, Assistant Treasurer; and Rick Cornish, Chairman to be the authorized persons on the Wells Fargo account or accounts, and each of them is hereby authorized and empowered, to the fullest extent possible, to act on behalf of the California Bluegrass Association, Inc. (Corporation) and to establish and maintain with Wells Fargo any and all accounts. Each person shall, individually, have the fullest authority to act on behalf of the Corporation with respect to the account(s) to include, but not be limited to giving written or oral instructions, depositing or withdrawing money, making payments related to the account by checks and/or drafts drawn upon the funds of the Corporation and taking any and all action in connection with the account(s) as deemed necessary, was carried by unanimous vote.
The motion to pass the resolutions shown in the Morgan Stanley document “Authorized Persons and Enabling Resolutions for Corporations,” and also provided separately to board members. Also, that Richard Cornish as Chairman, Lisa Burns as Controller, Montie Elston as Treasurer, and Diana Donnelly as Secretary be designated as authorized persons on behalf of the California Bluegrass Association, Inc. was carried by unanimous vote.
REPORTS
Membership Report
Carolyn distributed her report and made a presentation.
Rick polled the board and we agree to stop including senior and kids on membership forms. We will look at changing senior discounts for tickets for festivals AFTER 2012.
Carolyn recommends that we charge only one price for memberships: $30 for all, which would include up to two adults and up to 2 teens (ages 16-18). Discussion followed but no decision was made. This will be added to the November agenda.
Carolyn also presented information on new members from Kings River. (Report given to John Duncan)
Treasurer’s Report
Montie presented the report on the Father’s Day Festival. Net profits were higher than originally thought.
Chairman Report
The motion to set the meeting dates for coming year: The will be the 2nd Saturday of every month except for March (in Sebastopol), the campout months (April and October), May (third Saturday), July in Sonora, and August near Good Old Fashioned carried by unanimous vote.

Next meeting set for Saturday, November 12, 2011 at the home of Diana Donnelly in Modesto.

Additional notes: John Duncan is tasked with looking into companies that would handle our online merchandise sales.
Upgrading the hospitality position to a coordinator was brought up. It was decided to let Jim Ingram bring a job description for that position. Add to November agenda
