CALL TO ORDER
Tim Edes, Chairman of the Board, called the meeting to order at 10:00am at the Brace River House in Modesto, California.

SETTING OF THE AGENDA
After three additions to the agenda, it was set and approved.
APPROVAL OF THE OCTOBER 21, 2012 BOARD MEETING MINUTES
The Board approved the minutes from the October meeting.
APPOINTMENTS:
The board approved the following positions by unanimous vote:
Secretary: Colleen Hogan
Investment Vice President – re-titled Investment Advisor: Kelly Senior
Area VP Central San Joaquin Valley: Stan Allen
Corporate Sponsorship Coordinator: Lisa Burns
Safety and Hospitality: Stuart “Slim” Sims
T-Shirt Design & Production: Changed to a Committee consisting of Bruce Campbell, Mark Varner, and Dagmar Mansperger
The following positions are on hold:

Ice Booth/Ice Wagon Coordinator

Tag Committee– Changed term to calendar year rather than Board Year

California Showcase Band Process and Date Change
The final judging session is now 12/1/12. Larry Kuhn is looking for a few more judges.
September Board Meeting Change:
The September 2013 Board Meeting moved from 9/14/13 to 9/15/13 so as not to conflict with major events held at the Berkeley Old Time Music Convention.
By-Laws Review Committee Formation:
The Board approved a committee to review the CBA By-Laws. The intention is to update and pare down the By-Laws and create an operating Policies and Procedures Manual.
Raffle Results:
Stuart Sims handed out a report on the instrument raffle. Lisa Burns is responsible for procuring instruments for raffle in the future.
NEW BUSINESS
Setting up Online Voting for Board Elections:
The Board agreed not to pursue this due to costs and considerable volunteer time that is required to manage it. Members who wish to vote electronically may do so by printing out the ballot, signing it, scanning and emailing back to the Elections Coordinator.
Election Petitions – Date for acceptance:
The deadline for members to submit petitions to run for the Board will remain August 1, as specified in the CBA By-Laws. The By-Laws Committee will work on language to better explain the process and deadline, and publish this before the next deadline.
Alternate Schedule for FDF:
The Board reviewed an alternative FDF Schedule that starts Thursday afternoon instead of Thursday morning. There was agreement to stick with the Standard Schedule in 2013 and give the TAG Committee more notice if there is a decision to shorten the schedule in 2014.
FDF Signage:
The Board agreed that there is a need for new signs and maps at the Fathers Day Festival and Music Camp. They may designate a position to oversee this. Further discussion will occur at the next meeting.
Trademark / Logo / Mercantile:
The CBA Trademark has expired and needs to be renewed. There was discussion about whether the logo should be updated at the same time, however it was explained this is a separate issue. The logo is just one element of the CBA Trademark. Mercantile can use a variety of designs for CBA products.
The Board approved $500 from the General Fund to go towards repairs and upgrades to the Mercantile Trailer.
REPORTS
Membership Report:
Bruce Campbell reported that he processed 73 memberships since the last meeting and, after purging expired membership, the new number on the website is 2422.
Treasurer’s Report:
Monte Elston handed out the current P&L and Balance Sheet, as well as a packet of Balance Sheets back to 2006. An historical P&L is available to Board Members who wish to see it.
Area Activities VP Reports:
Mark Hogan, North Bay: The line up is almost final for the Sonoma County Bluegrass & Folk Festival. Mark has confirmed with Lagunitas Brewery that the Board Meeting will be held there on Saturday March 9 starting at 11am instead of 10am. He also discussed the lineup for the Cloverdale Fiddle Festival.
Dave Gooding for Stan Allen, Central San Joaquin: The Old Tire Swingers and The Central Valley boys played a show at the Fox Theater in Hanford on Nov. 10. Stan Allen and Candy Spoonhalts manned a CBA Information Booth and Stan spoke to the audience from the stage about the CBA. There were over 250 people in attendance and the CBA was well received.
Tim Edes for Larry Phegley, South Bay: Tim reported that they continue to have weekly jams. He is gearing up for the concert Feb 23 Night at the Grange. Tickets will be available December 1, 2012.
